1. Acceptance of Terms
By accessing or using Progressive Robot ("the Service"), operated by Progressive Robot Ltd, registered in England and Wales, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Content Licence Agreement (collectively, the "Agreement"). If you do not agree to any part of this Agreement, you must not access or use the Service.
These Terms constitute a legally binding contract between you and Progressive Robot Ltd. Please read them carefully before using the Service.
2. Description of Service
Progressive Robot is an AI-powered creative platform accessible at video.progressiverobot.com. The Service includes, but is not limited to:
- AI Video Generation: Text-to-video, image-to-video, video-to-video transformation, and video extension.
- AI Image Generation: Text-to-image creation.
- AI Audio Generation: Music, sound effects, and text-to-speech voiceover creation.
- Video Editing Tools: Trimming, speed adjustment, resize, crop, text overlay, auto-subtitle generation and translation, video merge, audio overlay, and voiceover.
- AI Tools: Background removal, video upscaling, face swap, frame extraction, video-to-GIF conversion, and watermarking.
- Studio Workspace: Project management, storyboarding, AI script-to-shots, timeline editing, and project export.
- Video Hosting: Hosted video landing pages with analytics, embedding, and sharing capabilities.
- Community Features: Public gallery, prompt sharing and marketplace, voting, and community moderation.
- Stock Media: Access to stock videos, images, and music from third-party providers.
- Brand Kits: Custom branding with logos, colours, fonts, and intro videos.
- Organisations: Team creation, member management, role assignment, and collaborative workspaces.
- API Access: Programmatic access to generation, polling, history, and model endpoints via authenticated API keys.
- AI Prompt Generation: AI-assisted prompt creation and autocomplete.
The Service is provided "as is" and is continually evolving. We may add, modify, or discontinue features at any time without prior notice, except where a change materially diminishes functionality included in a paid plan, in which case we will provide reasonable notice.
3. Eligibility
- You must be at least 18 years old to create an account or use the Service.
- If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
- The Service is not available to users in jurisdictions where AI-generated content is prohibited by law.
4. Account Registration and Security
- You must provide accurate, current, and complete information when registering.
- You are responsible for maintaining the confidentiality of your login credentials and API keys.
- You are responsible for all activity that occurs under your account, including activity by team members in your organisation.
- You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.
- We reserve the right to suspend accounts that show signs of unauthorised access, credential compromise, or suspicious activity.
- You may not share, sell, or transfer your account to another person.
- Each individual may maintain only one account unless expressly authorised by us.
5. Credits, Subscriptions, and Payments
5.1 Credit System
- The Service operates on a credit-based system. Credits are consumed when generating videos, images, audio, using AI tools, or performing certain operations (e.g. upscaling, face swap, frame extraction).
- Credit costs vary by operation, model, resolution, and duration. Estimated costs are displayed before generation where possible.
- Credits are non-transferable between accounts unless part of an organisation plan.
5.2 Subscription Plans
- The Service offers multiple subscription tiers: Free, Starter, Creator, Pro, Studio, and Enterprise. Details are available on the Pricing page.
- Prices are quoted in British Pounds (£ GBP) and are inclusive of VAT where applicable.
- Paid subscriptions renew automatically on a monthly basis until cancelled.
- You may upgrade, downgrade, or cancel your subscription at any time. Changes take effect at the start of the next billing cycle, except for upgrades which take effect immediately.
- Cancellation takes effect at the end of the current billing period. You retain access to paid features until then.
- Monthly credit allowances refresh at the start of each billing cycle. Unused monthly credits do not roll over.
- Separately purchased credit top-ups do not expire.
5.3 Payments and Refunds
- Payments are processed securely by Stripe. We do not store your full payment card details.
- You authorise recurring charges for subscription plans until you cancel.
- If a payment fails, we may suspend access to paid features and retry the charge. Your account will not be deleted due to a failed payment without reasonable notice.
- Refunds are considered on a case-by-case basis. To request a refund, contact [email protected] within 14 days of the charge.
- Credits that have been consumed cannot be refunded.
- We reserve the right to change pricing with 30 days' notice. Existing subscriptions will honour the current price until the end of their billing period.
6. Acceptable Use Policy
You agree not to use the Service to:
- Generate, distribute, or store content that is illegal under the laws of England and Wales or the jurisdiction in which you reside.
- Generate deepfakes, synthetic media, or manipulated content intended to deceive, defraud, manipulate elections, or impersonate real individuals without their explicit consent.
- Generate any content depicting minors in sexual, violent, exploitative, or otherwise inappropriate contexts.
- Generate content that constitutes or promotes hate speech, terrorism, violence, harassment, bullying, or discrimination based on race, gender, sexuality, religion, disability, or any other protected characteristic.
- Generate sexually explicit or pornographic content.
- Infringe upon the intellectual property rights, privacy rights, publicity rights, or other proprietary rights of any third party.
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying models of the Service.
- Use automated scripts, bots, crawlers, or scrapers to access the Service beyond what is explicitly permitted through our API.
- Circumvent, disable, or interfere with any security, rate-limiting, credit, or access-control features of the Service.
- Resell, rebrand, or white-label the Service itself (as distinct from Generated Content) without an Enterprise agreement.
- Use the Service to develop a competing product or service.
- Upload images, audio, or other input material that you do not have the right to use.
- Use face swap tools on images of individuals without their informed, verifiable consent.
- Misrepresent AI-generated content as human-created in contexts where disclosure is required by applicable law or regulation.
- Overload, flood, or otherwise impair the Service or its infrastructure.
- Introduce malware, viruses, or any other malicious code.
We reserve the right to remove any content and suspend or terminate any account that violates this Acceptable Use Policy, without prior notice and without refund.
7. API Terms of Use
- API access is available to authenticated users with valid API keys generated via the Service.
- API keys are confidential. You are responsible for all API usage associated with your keys.
- You must not share, publish, or expose API keys in client-side code, public repositories, or any publicly accessible location.
- API usage is subject to rate limits and fair-use policies. Exceeding these limits may result in temporary throttling or suspension.
- We may revoke API keys at any time if we detect abuse, excessive load, or violation of these Terms.
- The API is provided without an SLA unless you hold an Enterprise plan with a bespoke agreement.
- All content generated via the API is subject to the same Acceptable Use Policy, Content Licence, and credit costs as content generated via the web interface.
8. Community and Public Content
- The Service includes community features such as a public gallery, prompt marketplace, and shared prompt library.
- By sharing content publicly (gallery, community prompts, hosted pages), you grant Progressive Robot a non-exclusive, worldwide, royalty-free licence to display, distribute, and promote that content on the platform and in marketing materials.
- You may remove publicly shared content at any time, which revokes this licence prospectively.
- You are responsible for ensuring that content you share publicly does not infringe third-party rights or violate the Acceptable Use Policy.
- We may moderate, remove, or restrict community content at our discretion without prior notice.
- Community prompts may be used by other users. By sharing a prompt, you grant other users permission to use it for generation.
- You must not use the community features to spam, advertise, or distribute malicious or misleading content.
9. Video Hosting
- The Service allows you to create hosted landing pages for your generated videos, with custom titles, descriptions, CTAs, and embed codes.
- Hosted video pages are publicly accessible via unique URLs. You are responsible for the content of your hosted pages.
- We reserve the right to remove hosted pages that violate these Terms, the Acceptable Use Policy, or applicable law.
- Hosting analytics (views, unique visitors) are provided for informational purposes and may not be perfectly accurate.
- We do not guarantee the permanent availability of hosted pages. We may discontinue the hosting feature with reasonable notice.
10. Organisations and Teams
- Organisation features allow you to create teams, invite members, assign roles, and collaborate on projects.
- The organisation creator (owner) is responsible for the actions of all team members under their organisation.
- Credit consumption by team members is charged against the organisation owner's account and subscription.
- The organisation owner may remove members and revoke access at any time.
- Disputes between team members are outside the scope of our responsibility.
11. Stock Media
The Service provides access to stock videos, images, and music sourced from third-party providers (including Pexels and Pixabay). Your use of stock media is subject to the respective provider's licence terms. We do not claim ownership of stock media and provide it solely as a convenience. You are responsible for verifying that your use of stock media complies with the applicable third-party licence.
12. Content Ownership and Licence
- You retain ownership of your input materials (prompts, uploaded images, uploaded audio, scripts, creative direction).
- Your rights to AI-generated output (videos, images, audio) are governed by our Content Licence Agreement, which varies by subscription tier.
- We do not claim ownership of Generated Content. We reserve the right to use anonymised, aggregated metadata (not your content itself) for service improvement and analytics.
- The underlying AI models, algorithms, software, platform code, and technology remain the exclusive property of Progressive Robot Ltd and its licensors.
- You acknowledge that AI-generated content may, by coincidence, resemble existing works. We make no warranties regarding the uniqueness or non-infringement of Generated Content.
13. Privacy
Your use of the Service is governed by our Privacy Policy, which details how we collect, use, store, and protect your personal data. By using the Service, you consent to the data practices described therein.
14. Disclaimers and Limitation of Liability
14.1 Disclaimers
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
- We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
- We do not guarantee any specific quality, resolution, or style of Generated Content.
- AI models may produce unexpected, inaccurate, or inappropriate output. You are responsible for reviewing all Generated Content before use.
- We do not warrant that Generated Content will not infringe the intellectual property rights of third parties.
- Beta or experimental features are provided without any warranty whatsoever.
14.2 Limitation of Liability
- To the maximum extent permitted by law, Progressive Robot Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings.
- Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim, or £100, whichever is greater.
- Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded under English law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Progressive Robot Ltd, its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service or Generated Content.
- Your violation of these Terms or any applicable law or regulation.
- Your infringement of any third-party rights, including intellectual property, privacy, or publicity rights.
- Content you upload, share, host, or publish via the Service.
- Your use of the API.
- Actions of team members within your organisation.
16. Suspension and Termination
16.1 By Us
- We may suspend your account immediately if we reasonably believe you have violated these Terms, the Acceptable Use Policy, or applicable law.
- We may terminate your account for repeated or serious violations, following which all data associated with your account may be deleted after a 30-day grace period.
- We may suspend or terminate in response to a valid legal order, DMCA takedown request, or government directive.
16.2 By You
- You may cancel your subscription at any time via account settings or by contacting support.
- You may request deletion of your account and associated data by contacting [email protected].
- Upon account deletion, your Generated Content, projects, hosted pages, and personal data will be permanently removed within 30 days, except where retention is required by law.
16.3 Effect of Termination
- Upon termination, your right to access and use the Service ceases immediately.
- Any outstanding payment obligations survive termination.
- Sections relating to content ownership, limitation of liability, indemnification, dispute resolution, and governing law survive termination.
17. DMCA and Copyright Takedowns
We respect intellectual property rights. If you believe that content on the Service infringes your copyright, please submit a takedown request to [email protected] with the following:
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the content on the Service that you claim is infringing, with sufficient detail for us to locate it.
- Your contact information (name, address, email, phone number).
- A statement that you have a good-faith belief that the use is not authorised by the copyright owner.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on their behalf.
- Your physical or electronic signature.
We will respond to valid takedown requests promptly, generally within 5 business days.
18. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party services (including AI model providers, cloud infrastructure, and payment processors).
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
20. Entire Agreement
These Terms, together with the Privacy Policy and Content Licence Agreement, constitute the entire agreement between you and Progressive Robot Ltd with respect to the Service. They supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written.
21. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Progressive Robot Ltd.
22. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
23. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page.
- Notify registered users via email or in-platform notification at least 14 days before the changes take effect.
- Provide a summary of material changes.
Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may request account deletion.
24. Dispute Resolution
24.1 Informal Resolution
Before initiating any formal proceedings, you agree to first contact us at [email protected] and attempt to resolve the dispute informally within 30 days.
24.2 Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales.
24.3 Jurisdiction
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer within the EU/UK, you retain the right to bring proceedings in your local courts as provided by applicable consumer protection law.
