Content Licence

1. Overview

This Content Licence Agreement ("Agreement") governs your rights to videos, images, audio, and all other content generated using Progressive Robot's AI creative platform ("Generated Content"). This Agreement forms part of, and is subject to, our Terms of Service.

By using the Service to create content, you accept this Agreement. If you do not agree, do not use the generation features.

2. Definitions

• "Generated Content" means any video, image, audio file, subtitle, or other media output produced by the AI models through the Service in response to your inputs.
• "Input Materials" means prompts, uploaded images, uploaded audio, scripts, brand assets, and any other content you supply to the Service.
• "Derivative Work" means content that is created by modifying, editing, combining, or building upon Generated Content using the Service's tools (e.g., video editing, subtitle overlay, upscaling, extend video).
• "Commercial Use" means any use in connection with a business, trade, profession, or activity intended to generate revenue.
• "Standalone" means selling or licensing Generated Content as an individual asset (e.g., as stock footage) without it being part of a larger creative work.

3. Licence by Plan

Your rights to Generated Content depend on your subscription tier at the time of generation. Rights are perpetual once content is generated — downgrading your plan does not revoke rights previously granted.

4. Content Types Covered

This Agreement applies to all output created through the Service, including:

• AI-generated videos: Text-to-video, image-to-video, video-to-video, and video extension outputs.
• AI-generated images: Text-to-image outputs.
• AI-generated audio: Music, sound effects, and text-to-speech voiceover outputs.
• Edited content: Videos processed through the editing tools (trimmed, subtitled, speed-adjusted, merged, overlaid, etc.).
• AI tool outputs: Upscaled videos, background-removed images, face-swap results, extracted frames, GIF conversions, and watermarked content.
• Studio exports: Complete projects, timelines, and storyboard outputs exported from the Studio workspace.
• Hosted page content: Content published via the Video Hosting feature.

5. Input Materials

• You retain full ownership of all Input Materials you provide to the Service.
• You represent and warrant that you own or have the right to use all Input Materials, including uploaded images, audio, brand assets, and face images used in the face swap tool.
• You are solely responsible for ensuring your Input Materials do not infringe third-party intellectual property, privacy, or publicity rights.
• By uploading Input Materials, you grant Progressive Robot a limited licence to process them solely for the purpose of delivering the Service to you. This licence terminates when you delete the materials or your account.

6. Universal Restrictions

Regardless of your subscription plan, you may never:

• Use Generated Content for any illegal purpose under the laws of England and Wales or your jurisdiction.
• Use Generated Content to create deepfakes, misinformation, disinformation, or deceptive synthetic media.
• Use Generated Content depicting real individuals (via face swap or otherwise) without their explicit, informed consent.
• Use Generated Content to harass, threaten, bully, defame, or intimidate any person.
• Use Generated Content in connection with hate speech, terrorism, violence, exploitation, or discrimination.
• Use Generated Content depicting minors in any sexual, violent, or exploitative context.
• Use Generated Content to create sexually explicit or pornographic material.
• Use Generated Content to impersonate individuals or organisations for fraudulent purposes.
• Claim that AI-generated content was produced through traditional filmmaking, photography, or recording without disclosing its AI origin, where such disclosure is required by applicable law or regulation.
• Use Generated Content in a way that violates the intellectual property rights of any third party.
• Remove, alter, or falsify metadata that identifies content as AI-generated, where such metadata is required by law.
• Use Generated Content for training competing AI models without our express written permission.

7. AI Disclosure and Transparency

You acknowledge and accept the following obligations regarding AI transparency:

• Depending on your jurisdiction, industry, and use case, you may be legally required to disclose that content was generated or assisted by AI. This may include the EU AI Act, UK-specific AI legislation, FTC guidelines, platform-specific rules, and industry standards.
• It is your sole responsibility to determine and comply with all applicable AI transparency, labelling, and disclosure requirements in your jurisdiction and industry.
• Progressive Robot Ltd is not liable for your failure to comply with AI disclosure requirements.
• Where technically feasible, we may embed metadata in Generated Content indicating its AI origin. You should not remove this metadata where retention is required by law.

8. Intellectual Property

• You retain full ownership of your Input Materials (prompts, uploads, creative direction).
• The intellectual property status of AI-generated content under UK law (and internationally) is evolving and not fully settled. Under current UK law, AI-generated works may qualify for copyright protection with the person who made the arrangements for the creation as the author (CDPA 1988, s.9(3)). We grant you the broadest rights possible under your plan, subject to any future legislative changes.
• We do not claim ownership of your Generated Content.
• We do not use your Generated Content for marketing or promotional purposes without your consent (except for content you have voluntarily made public via the gallery or community features).
• The underlying AI models, training data, platform software, algorithms, workflows, and technology remain the exclusive intellectual property of Progressive Robot Ltd and its licensors.
• This licence does not grant you any rights in or to the AI models themselves, the platform source code, or the underlying technology.

9. Gallery, Community, and Public Sharing

• When you make content public via the gallery, host it on a hosted page, or share it via the community prompt marketplace, you grant Progressive Robot a non-exclusive, worldwide, royalty-free licence to display, distribute, cache, and promote that content on the platform and in our marketing materials.
• This licence is revocable: you may remove content from public visibility at any time, which revokes this licence prospectively (cached copies may take reasonable time to clear).
• Other users may view your publicly shared content but may not download, copy, or re-use it without your explicit permission, unless you have expressly permitted such use.
• Community prompts you share may be used by other users for generation. By sharing a prompt, you grant all users a perpetual licence to use that prompt for generation purposes.

10. No Warranty of Uniqueness or Non-Infringement

• AI models generate content based on learned patterns. Generated Content may coincidentally resemble existing works, characters, trademarks, or other protected material.
• We make no warranty that Generated Content is unique, original, or free from potential intellectual property conflicts.
• It is your responsibility to review Generated Content for potential infringement before publishing, distributing, or using it commercially.
• You are solely responsible for clearing any rights, trademarks, or likeness issues associated with your use of Generated Content.

11. Indemnification

You agree to indemnify, defend, and hold harmless Progressive Robot Ltd and its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of Generated Content, including any claims of intellectual property infringement, privacy violations, or regulatory non-compliance.
• Your failure to comply with applicable AI disclosure, labelling, or transparency requirements.
• Your use of face swap outputs without proper consent from depicted individuals.
• Any content you upload, publish, host, or distribute through the Service.

12. Licence Survival and Plan Changes

• Rights granted are perpetual per-generation. Once you generate content under a given plan, the rights associated with that plan remain in effect for that specific content, even if you later downgrade or cancel.
• If you upgrade your plan, new generations receive the upgraded rights. Previously generated content retains the rights from the plan under which it was originally generated, unless you re-generate it on the new plan.
• If your account is terminated for violation of the Terms of Service, all licence rights are revoked immediately, including for previously generated content.

13. Stock Media

Generated Content may incorporate stock media (videos, images, music) sourced from third-party providers via the Service's stock media feature. Your use of such incorporated stock media is subject to the respective third-party licence terms (e.g., Pexels, Pixabay). We do not grant additional rights to third-party stock media beyond those provided by the original licensor. You are responsible for verifying compliance.

14. Limitation of Liability

To the maximum extent permitted by law, Progressive Robot Ltd shall not be liable for any claims, damages, or losses arising from your use of Generated Content, including but not limited to claims of intellectual property infringement, privacy violations, regulatory penalties, or loss of revenue. See the Terms of Service for full limitation of liability terms.

15. Changes to This Agreement

• We may update this Agreement from time to time.
• Changes will not retroactively affect content already generated under a previous version. Your existing Generated Content retains the rights that applied when it was created.
• Material changes will be communicated via email or in-platform notification at least 14 days before they take effect.
• Continued use of the generation features after changes take effect constitutes acceptance.

16. Governing Law

This Agreement is governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer entitled to bring proceedings in your local courts under applicable consumer protection law.
